BYLAWS
of
Sumners Oaks Homeowners Association
ARTICLE I 
GENERAL 

Section 1.  Name : This Association shall be known as the SUMNER OAKS HOMEOWNERS ASSOCIATION. 

Section 2. Purpose: The Sumner Oaks Homeowners Association is organized to promote the general welfare of the homeowners and residents of Sumner Oaks, section (Blank), (Blank) County, (Blank), and to provide a means by which to maintain common areas for the enjoyment of the membership of the Association as hereinafter provided and to enforce all covenants and restrictions affecting property in Sumner Oaks, including but not limited to the Restrictions recorded in the Deed of Records in (Blank) County, (Blank). Special attention and emphasis shall be given to the mutual protection of the homeowner's investment and the safety of all residents. 

ARTICLE II 
MEMBERSHIP 

Section 1. Eligibility: All persons who own a fee simple interest in any lot in Sumner Oaks and occupy a home on that lot or rent or lease from such homeowners shall be eligible to join the Association.  Membership in the Association is voluntary. 

Section 2. Election: Application for membership may be made in writing or verbally to the secretary or his/her representative at any time. 

Section 3. Dues: Association dues are non refundable and are due on January 1st of each year payable no later than February 28 of that year. Payment of dues and other Association approved fees or assessments, are required for membership to be in good standing. Should the Association decide to implement change in dues, fees or assessments, a two-third (2/3) vote of all Association members in attendance at meeting is required. 

Section 4. Termination: A) Any member may resign from the Association at any time by giving written notice to the President of the Association, thereby relinquishing all future voting rights.  B) Any member moving his principal residence out of the Sumner Oaks will be automatically dropped from the membership rolls. 

Section 5. Voting: Each household shall be entitled to one (1) vote. 
 
ARTICLE III 
MEETINGS 

Section 1. Annual Meeting: The January meeting will be designated as the Annual Meeting. The time and place shall be fixed by the Officers of the Association and notice thereof given to each member no less than ten (10) days and no more than thirty (30) days before such meeting. 

Section 2. Additional Meetings: General meetings of the Association may be called by the President at any time. Notice of special meetings shall be given to each member at least seven (7) days prior to such meeting. 

Section 3. Quorums: At any duly called meeting of the Association, representation of twenty five percent (25%) of the members in good standing (who may be represented by proxy) shall constitute a quorum. 

Section 4. Lack of quorum: If a Quorum is not present, the presiding officer may adjourn the meeting to a day and hour fixed by him. 

Section 5. Proxy: At any meeting, a member entitled to vote may vote by proxy, executed in writing and dated by the member, and filed with the secretary of the Association prior to the beginning of the meeting. No proxy shall be valid for this purpose longer than ninety (90) days after it's execution. 

ARTICLE IV 
OFFICERS 

Section 1. Officers of the Association: The officers of the Association shall consist of a President, Vice President Treasurer and Secretary, all members in good standing. 

Section 2. Election of officers. The election of officers shall take place at the annual meeting. 

Section 3. Term of office: The term of office for all officers shall be one (1) year unless an officer is removed from office by a 2/3 (two thirds) vote of members attending the meeting. 

Section 4. Vacancies in Office: If a vacancy occurs among the elected officers, the  remaining officers of the Association shall appoint a replacement to fill the unexpired portion of the term. 

Section 5. Directors: The officers of the Association shall also constitute the Board of Directors. 

ARTICLE V 
DUTIES OF OFFICERS 

Section 1. President: The President shall preside at all meetings of the Association and shall appoint such committees as he/she or the Association shall consider expedient or necessary. 

Section 2.   Vice President:  The Vice President shall be responsible for Communications, publications and Association public relations. In the absence of the President, the Vice President shall perform his/her duties. 

Section 3.  Treasurer:  The Treasure shall have charge of all receipts and disbursements, submit his records when requested, and give an itemized statement at regular meeting of the Association. He/she shall sign bank accounts. If the treasurer is not available, the President or Secretary may sign a check.  For expenditures in excess of $500, an additional approval signature from one other officer is required in the comments area of the check. 

Section 4. Secretary: The Secretary will keep a current list of all members in good standing of the Association. The Secretary shall also keep the minutes of all the meetings of the Association, take roll call as necessary to determine a Quorum at all meetings notify membership of all annual and special meetings, carry on the correspondence of the Association, and perform all such duties as the title implies. 

ARTICLE VI 
COMMITTEE 

Section 1. Appointment and Authority: The President shall appoint all committees and their chairperson.  It shall be the function of the Committee to make investigations, conduct studies and hearings and make recommendations to the Officers and the Association and to carry on such activities as may be delegated to them by the President. 

Section 2. Limitations of Authority: No action by any member, committee, or officer shall be binding upon or constitute an expression of the policy of the Association until it shall have been approved and ratified by the Association. 

ARTICLE VII 
FINANCES 

Section 1. Funds. All money paid to the Association shall be placed in a general fund, and accounted for by the Treasurer. 

Section 2. Disbursements: The Treasurer is authorize to make disbursements on accounts and expenses voted on by the majority of the members at the annual meeting of the Association. The signatures of the Treasurer and an additional approval signature from one other officer is required in the comments area of the check for all expenditures in excess of $500.00. 

Section 3 Fiscal year: The fiscal year of the Sumner Oaks Homeowner Association shall close December. 

Section 4. Budget:  Any non budgeted expenditure in excess of $500 shall be approved by 2/3 of the membership in good standing present at regular meeting or special sessions. 

ARTICLE VIII 
DISSOLUTION 

Section 1. The Association shall use its funds only to accomplish the objectives and purposes specified in these by- laws. Upon dissolution of the Association, any funds remaining shall be distributed to the Membership current at the time of dissolution. 

ARTICLE IX 
PARLIAMENTARY AUTHORITY 

Section 1. The current edition of Robert Rules of Order shall be the final source of authority in all questions of parliamentary procedure when rules are not consistent with the bylaws of the Association. 

ARTICLE X 
AMENDMENTS 

Section 1. Revisions: These bylaws may be amended or altered by 2/3 majority of the members in good standing present at any given meeting, annual or general, provided that notice of such meeting and the purpose thereof has been given not less than 10 days, nor more than thirty (30) days prior to appointed time of the meeting. Any proposed amendment shall be submitted to the President in writing before the meeting has been called to order by the President.
